Shareholders greenlight Fox’s $22 billion acquisition of Roku
As expected, shareholders have approved Fox’s takeover of Roku, clearing a key hurdle in the acquisition process.
Fox is drawing closer to finalizing its massive, $22 billion deal to purchase Roku. The two companies first announced their agreement in June, but investors have not officially given the transaction their thumbs-up until now. Shareholders from both Fox and Roku have voted to approve the purchase, pushing the deal closer to finalization.
Key Details:
- We say yes: Shareholders from Fox and Roku have approved Fox’s purchase of Roku.
- Chunk of change: Fox will pay $160 per share to acquire Roku.
- Still checking: The Department of Justice is still reviewing the deal.
There was no expectation of a shareholder revolt from either Fox or Roku regarding the acquisition, but the official vote of approval is still a key step forward for Fox CEO Lachlan Murdoch. It puts the Roku operating system, which is present in more than 100 million households around the world, almost in his company’s grasp.
Fox will pay $160 per share to acquire Roku, and Fox stakeholders will own around 73% of the merged business. The transaction will bring the free streaming services The Roku Channel and Tubi under the same roof, and Fox will also be acquiring the low-cost, ad-free streamer Howdy and the budget live TV streaming service Frndly TV, both of which Roku currently controls. Fox also owns the Fox broadcast channel, a portfolio of news and sports cable channels, and streamers Fox One and Fox Nation.
There are plenty of unanswered questions about the deal, including whether Fox will merge The Roku Channel and Tubi, and whether or not it will keep the device manufacturing arm of Roku, which makes up a relatively small part of the company’s overall revenue.
It’s still not 100% certain that the deal will be allowed to close. The Department of Justice has asked for more information regarding the deal, and its inquiry has not yet finished. Given its permissive attitude toward M&A in general, the current DOJ is unlikely to try to stop Fox’s acquisition of Roku, but the deal isn’t 100% across the finish line yet.
